    What is the Beneficial Ownership Register?

    South Africa's Beneficial Ownership (BO) register is a new compulsory disclosure requirement introduced under amendments to the Companies Act 71 of 2008. All companies and close corporations must declare who ultimately owns or controls them to CIPC.

    This requirement stems from South Africa's Financial Action Task Force (FATF) greylisting in 2023 — the government introduced sweeping transparency measures to improve anti-money laundering and counter-terrorism financing controls.


    Who is a Beneficial Owner?

    A beneficial owner is any natural person who:

    • •Owns more than 5% of shares or voting rights in the company
    • •Exercises effective control over the company
    • •Has the right to appoint or remove a majority of directors
    • •Exercises effective control through any other means
    Companies must look through layers of ownership to identify the **ultimate natural persons** at the top of the ownership chain.

    Who Must Register Beneficial Ownership?

    The following entities must file a BO register with CIPC:

    • •✅ All Private Companies (Pty) Ltd
    • •✅ All Close Corporations (CC)
    • •✅ All Public Companies (Ltd)
    • •✅ All Non-Profit Companies (NPC) with members
    • •✅ State-owned companies

    Exemptions:

    • •Companies listed on the JSE (covered under separate JSE disclosure rules)
    • •Certain state-owned entities

    Information Required for BO Registration

    For each beneficial owner, you must disclose:

    • •Full name and ID number / passport number
    • •Date of birth and nationality
    • •Residential address
    • •Nature of ownership/control (shares, voting rights, etc.)
    • •Date the person became a beneficial owner
    • •Date of any change

    CIPC BO Register Submission Process

    1. Log in to CIPC e-Services at cipc.co.za
    2. Go to "Beneficial Ownership" from the dashboard
    3. Complete the online BO register form
    4. Upload ID documents for all beneficial owners
    5. Submit and receive confirmation

    The BO register must be updated within 5 business days of any change in ownership or control.
