Director Changes in South African Companies
Company directors change all the time — new investors join, old directors resign, or circumstances change. In South Africa, any change to the directorship of a company must be reported to CIPC within 10 business days using the CoR39 form.
Failure to update CIPC timeously is a compliance violation and can result in penalties.
What Triggers a CoR39 Filing?
You must file a CoR39 with CIPC when:
- •✅ A new director is appointed
- •✅ An existing director resigns
- •✅ A director is removed by resolution of the board/shareholders
- •✅ A director's personal details change (ID number, address, name)
- •✅ A director is disqualified or interdicted
Requirements for Adding a New Director
To add a new director, you need:
- •Certified copy of the new director's ID document or passport
- •Director's consent to appointment (written confirmation)
- •Board resolution approving the appointment
- •CoR39 form completed with the new director's details
- •CIPC filing fee (R100 per change)
Requirements for Removing a Director
To remove a director:
- •Written resignation letter from the departing director, OR
- •Board / shareholders' resolution removing the director
- •CoR39 form completed with effective date of removal
- •CIPC filing fee (R100)
How to File a CoR39 with CIPC
Online Method:
- Log in to cipc.co.za e-Services
- Navigate to "Amendments" → "Director Amendments"
- Select your company registration number
- Complete the online CoR39 form
- Upload supporting documents
- Pay the R100 fee

How Long Does CIPC Take to Process a Director Change?
Currently 5–10 working days via e-Services. Postal submissions take significantly longer (not recommended).
Can a Director Be Removed Against Their Will?
Yes — under the Companies Act, shareholders can remove a director by ordinary resolution at a general meeting, provided:
- •The director has been given written notice
- •They have been given an opportunity to address the shareholders at the meeting
The director cannot veto their removal if a majority of shareholders vote to remove them.
What Happens if CIPC Records are Not Updated?
If CIPC records still show a resigned director:
- •They may still be legally liable for company obligations
- •Banks and government bodies may deal with them as a valid director
- •It complicates future compliance filings
