Add, remove or replace company directors — filed correctly the first time.
Any change to your company's directors — whether you're adding a new co-founder, removing a resigning director, or updating an ID or address — must be filed with CIPC using form CoR39, together with supporting director resolutions.
DIY filings are commonly rejected for missing signatures, incorrect supporting documents, or director consent issues. Amashad prepares and files every CoR39 amendment correctly the first time.
Tell us who's joining or leaving, and provide a copy of their SA ID or passport.
We draft the resolution and consent letter — digitally signed by all parties.
We submit CoR39 with all supporting documents via the CIPC portal.
CIPC issues an updated disclosure certificate reflecting the change.
Under the Companies Act 71 of 2008, every active company must maintain accurate director records with CIPC. Failing to update changes can result in resigned directors remaining legally liable, and new directors being unable to sign company documents or open bank accounts.
If the director change affects ownership (for example a director who was also a shareholder), your Beneficial Ownership register must also be refiled within 10 business days. Amashad handles both updates as a bundle.
Most CoR39 filings complete within 3 to 5 business days, depending on CIPC turnaround.
A certified copy of the new director's SA ID or passport, signed consent to act as director, and the company's board resolution appointing them.
Yes. A foreign passport and proof of address are required. The company itself can be 100% foreign-owned.
Only if the director change also affects ownership or control. Amashad will advise during the process.
